Terms of Participation in the Partner Program
General
Yellotools GmbH, Wilberhofener Str. 3, 51570 Windeck, Germany (hereinafter “Yellotools”) operates a partner (affiliate) program. These Terms of Participation govern participation exclusively in business-to-business dealings between entrepreneurs (Section 14 German Civil Code, BGB).
The partner program is open only to business customers with a Yellotools customer account — e.g. trades, industry, workshops, dealers, and other companies. Private individuals and consumers may not participate.
By registering for the partner program and upon our activation, a contract is formed between your company and Yellotools. Yellotools may reject applications without stating reasons.
You participate as an independent entrepreneur. No employment relationship or commercial agency relationship within the meaning of Section 84 HGB is created.
These terms supplement Yellotools’ Terms and Conditions for the online shop. Purchase contracts between referred customers and Yellotools are governed exclusively by the shop GTC. For the partner program and the relationship between you and Yellotools, these Terms of Participation prevail in case of doubt.
How the Partner Program Works

Register
Sign up in your customer account under “Partner program”. We review your application and activate your account. -
Share your link
Add your partner code to a shop link or share the code directly. -
Refer customers
A visit via your link stores the code. If the referred customer registers, attribution remains linked to your partner account. -
Request payout
30 days after the order and from a balance of EUR 10.00, you can request payout in your customer account. We review and transfer.
Attribution and Tracking
We attribute orders using a last-click model: the partner code stored last before registration or checkout is decisive.
A visit via your link or entry of your partner code is stored via cookie or comparable technology for 30 days from the last click. If the referred customer registers or places an order within this period, attribution remains linked to your partner account — including later purchases, provided the customer remains assigned to your partner account in our system.
Yellotools’ technical logs and system data are authoritative for attribution and commission calculation unless you substantively object within 30 days of credit or denial.
Commission
- 3% of the net goods value of the referred order
- Net goods value means the goods value excluding shipping costs and VAT, after deducting discounts and vouchers
- Referred order means an order by a referred customer assigned to your account under our attribution rules
- Shipping costs are excluded
- Discounts and vouchers are deducted beforehand
- Commission becomes available only 30 days after the order date (maturity period)
- Full cancellation or return within the maturity period: no commission
- Partial return: commission calculated proportionally on the remaining net goods value
Example: If someone orders goods with a net value of EUR 1,000.00 via your link, you receive EUR 30.00 commission net (plus VAT, if owed by you).
Own orders via your own link or code do not generate commission. The same applies to orders from affiliated companies (companies linked to you by majority voting rights or capital, or under common control), related persons, or in cases of identifiable abuse.
Partner Code and Registration
You receive an individual partner code. Custom codes may be requested; changes are activated after our review.
You must provide accurate and complete registration information and update your customer account promptly. Keep your partner code and login credentials confidential.
You receive no independent rights to Yellotools trademarks, logos, or product images except through our approved marketing materials or our written consent.
Payout
Payouts are made to the IBAN stored in your partner account. Minimum amount: EUR 10.00 in approved commission.
We review each payout request. We may withhold payouts if information is missing, clawback claims exist, or abuse is reasonably suspected (e.g. own orders, cookie stuffing, click fraud under our advertising guidelines).
Taxes and VAT: You are solely responsible for the tax treatment of commission (income/corporate tax and VAT in your country). Yellotools does not provide tax advice.
Commission remunerates your advertising/referral services to Yellotools. Subject to mandatory law and tax-advisor confirmation, billing works as follows:
- Established in Germany: You issue Yellotools a proper invoice under Section 14 German VAT Act (UStG) including German VAT, unless you are a small business under Section 19 UStG (then invoice without VAT with the statutory note).
- Established in another EU Member State: You must provide a valid VAT ID. Yellotools will verify it (e.g. via VIES). Billing is without German VAT, with a note on reverse charge (VAT liability of the recipient). Without a valid VAT ID, we may withhold payouts.
- Established outside the EU (third country): Billing is without German VAT; Yellotools applies recipient VAT liability where required by law.
We may make payouts conditional on complete master data (country of establishment, VAT ID or small-business status, business address) and a proper business invoice. The payout document generated by the partner program (e.g. PDF with document number) is a payout receipt and does not automatically replace your business invoice under Section 14 UStG.
Partner Obligations
You promote Yellotools at your own responsibility. You must:
- Make only truthful statements about products, prices, availability, and delivery times
- Comply with all applicable advertising laws, in particular Sections 5, 5a, 6 UWG (clearly label advertising and affiliate content, e.g. “Ad” or “Advertisement”)
- Use trademarks, logos, and product images only with our marketing materials or our written consent
- No spam, no misleading advertising, no brand bidding on Yellotools brand terms (unless permitted), no cookie stuffing or click fraud
We may publish advertising guidelines; you must comply with them.
Liability and Indemnity
Indemnity: You shall indemnify Yellotools against all third-party claims arising from your advertising, labelling, or other conduct in connection with the partner program — including reasonable legal costs, to the extent you are responsible for the breach.
Yellotools liability: Yellotools is liable without limitation for intent and gross negligence and for injury to life, body, or health. For slight negligence in breach of essential contractual obligations (cardinal duties), liability is limited to typically foreseeable damage. Otherwise, liability is excluded to the extent permitted by law.
Data Protection
We process your data to operate the partner program in accordance with our privacy policy.
Where you process personal data in the course of promotion (e.g. newsletters, tracking on your website), you are an independent controller under the GDPR.
Term and Termination
Participation is for an indefinite term. Either party may terminate at any time with 14 days’ notice effective at the end of a calendar month.
In case of serious breaches of these terms, the advertising guidelines, advertising law, or abuse, we may terminate participation with immediate effect.
Upon termination, participation ends. Mature, undisputed commission is paid after review. Immature commission is forfeited if the underlying order is cancelled or returned.
Amendments
We may amend these terms for objective reasons (e.g. legal changes, technical adjustments, program changes). We will notify you of material amendments at least 6 weeks before their planned effective date in text form (email or notice in the partner area). In that notice, we will specifically inform you that silence within the period constitutes consent to the amendments and that you may terminate extraordinarily within that period effective on the planned effective date.
If you do not object within 6 weeks, the amendments are deemed accepted.
Exception: Silence does not constitute consent to changes to the commission rate, calculation basis (net goods value), or maturity period.
Final Provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction for disputes arising from the partner program is, where permitted by law, the registered office of Yellotools GmbH in Windeck, Germany.
If individual provisions are invalid, the remaining provisions remain effective. Side agreements require text form (email suffices).
Claims under the partner program are subject to statutory limitation periods.
